You must be at least 18 years old and capable of forming a binding contract to use the Site. If you use the Site on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms, in which case “you” refers to that entity.

The content on the Site is provided for general informational purposes only. Nothing on the Site constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation for any security, fund interest, or investment product, nor does it constitute investment, legal, accounting, or tax advice.

We may evaluate, and may already be evaluating or pursuing, opportunities similar to those you submit, including with companies that may be or become competitive with you. Submitting materials to us does not create any investment, advisory, fiduciary, agency, partnership, or other relationship between you and DeepScale.

All other trademarks are the property of their respective owners.

You agree not to: (a) use the Site in violation of any applicable law or regulation; (b) attempt to gain unauthorized access to the Site or its related systems; (c) introduce malware or otherwise interfere with the proper functioning of the Site; (d) scrape, harvest, or collect information from the Site through automated means without our consent; or (e) use the Site to transmit unlawful, infringing, defamatory, or otherwise objectionable content.

You agree to indemnify, defend, and hold harmless DeepScale and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California, and you consent to personal jurisdiction in those courts, except where applicable law provides otherwise.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms constitute the entire agreement between you and DeepScale regarding the Site. We may modify these Terms at any time by posting the revised Terms on the Site, and your continued use constitutes acceptance of the changes.
